Facility Services Terms of Service

These Terms govern NorTech's commercial facility services (stations, routes, and recurring supply ordering) — a separate commercial services line from NorTech's residential platform, described further at nortech.site/facilities. Please read them together with our Privacy Policy.
1. Agreement to These Terms
These Facility Services Terms of Service ("Terms") are a binding agreement between the commercial entity enrolling in NorTech's facility services ("Facility Client", "you", or "your") and NorTech ("NorTech", "we", "us", or "our"). They govern the recurring commercial facility-services line described at nortech.site/facilities (stations, routes, recurring supply ordering, and related booking/billing tools), which is separate from NorTech's residential platform and its Terms of Service. Where these Terms and the residential Terms of Service conflict as applied to your facility-services relationship, these Terms control.
2. Eligibility & Authority
You must be an authorized representative of the business, property, or organization enrolling in facility services, with authority to bind that entity, and "you" refers to that entity. You must be able to form a binding commercial contract.
3. Definitions
"Facility" means the location(s) enrolled for coverage. "Station" means a facility assigned one technician on a recurring weekly schedule. "Route" means a facility serviced on a recurring visit schedule without a dedicated on-site technician. "Technician" means the independent service professional providing coverage. "Shift" means a scheduled coverage period at a Station. "Checkpoint" means a QR-code location scan used to verify a Shift or Route visit. "Approved Hours" means hours reviewed and approved before billing. "Billing Period" means the recurring cycle (typically weekly) on which Approved Hours and any supply orders are invoiced or charged.
4. The Facility Services & Independent Technicians
NorTech operates a technology platform that matches your Facility with independent, vetted, background-checked Technicians and handles scheduling, shift/route verification, billing, and documentation. NorTech facilitates the relationship between you and the Technician; it does not itself perform the work. Technicians are independent contractors — not employees, partners, or agents of NorTech or of you — and NorTech does not control the manner or means by which a Technician performs work. Unlike a Job under the residential platform's Terms of Service, facility services are not subject to the $1,000 per-Job cap described there; that cap is a residential handyman-exemption mechanism that does not apply to this separate commercial services line.
5. Week-to-Week Coverage; No Long-Term Lock-In
Facility services run week to week. There is no minimum term, minimum spend, or automatic renewal into a longer commitment. Each week of Station or Route coverage is something you affirmatively approve; nothing renews automatically, and you may end coverage for any Station, Route, or the entire Facility at any time from your facility portal as described in Section 11, consistent with the "no long-term contract lock-in" terms described on our facilities page.
6. Scheduling, Stations & Routes
You select and approve Station or Route coverage through your facility portal. NorTech matches an available, qualified Technician to your Facility; you may request a Technician change at any time as described in Section 12. Scheduling windows are subject to Technician availability and are not guaranteed for any specific date beyond the approved week.
7. Hours Review & Billing
Technician hours are reviewed before they are billed. Approved Hours for a Billing Period are charged weekly to your payment method on file, or invoiced for manual payment on the terms stated on the invoice, at your election. You may set an optional monthly budget cap per location; the cap is informational only — it alerts you when spending approaches or exceeds the cap and never blocks or interrupts coverage. You authorize NorTech to charge your payment method on file for Approved Hours, approved supply orders under Section 8, and any other charges disclosed in these Terms or on your invoice. Disputed line items should be raised through your facility portal or facilities@nortech.site within 30 days of the invoice date.
8. Recurring Supply Ordering
You may set a standing weekly, biweekly, or monthly supply order per location. Approved supply orders appear as a line item on your regular invoice for that Billing Period; there is no separate purchase-order process. You may change or cancel a standing supply order at any time from your facility portal, effective for the next Billing Period.
9. Checkpoints & Shift Verification
Coverage at a Station or on a Route is verified using QR-code Checkpoint scans and, for a Station, clock-in/clock-out at the scheduled Shift. This verification data is used to confirm coverage occurred as scheduled and to support billing accuracy; see our Privacy Policy (Facility Staff & Facility Client Data) for how this information is collected and used.
10. Invoices, Certificates & Documents
You may download a PDF invoice for any Billing Period, your Certificate of Insurance, any signed agreements, and inspection reports from your facility portal at any time.
11. Ending Coverage; Termination
You may end coverage for any Station, Route, or your entire Facility at any time from your facility portal, effective at the end of the current Billing Period unless you request an earlier end date and NorTech is able to accommodate it. There is no cancellation fee or penalty for ending coverage. NorTech may suspend or end coverage for non-payment, unsafe conditions, suspected fraud, or a documented breach of these Terms, with reasonable notice where practical.
12. Technician Changes & Replacement
If a Technician is not a good fit for your Facility, you may end that assignment at any time from your facility portal and request a new Technician, at no additional charge beyond Approved Hours already billed for coverage already provided.
13. Facility Client Responsibilities & Site Access
You agree to provide safe, lawful access to the Facility at scheduled coverage times; disclose known hazards; and obtain any authorization from a property owner, landlord, or other party required for NorTech and its Technicians to access and service the Facility. Delays or issues caused by denied, delayed, or unsafe access may affect scheduling or billing for the affected Shift or visit.
14. Insurance
NorTech maintains general liability insurance with a minimum of $1,000,000 per occurrence. A Certificate of Insurance is available on request and downloadable from your facility portal. Coverage is subject to its own terms, conditions, and exclusions.
15. Confidentiality
Each party will keep the other's non-public business information confidential and use it only to perform under these Terms, except as required by law.
16. Data Handling
Personal information collected in connection with facility services — including Technician Shift/Checkpoint data and any facility-staff data you provide — is handled as described in our Privacy Policy, including the Facility Staff & Facility Client Data section. Facility-level analytics (for example, supply usage or visit counts) may be shared with your own authorized administrators as part of these Terms.
17. Disclaimers
Except as expressly stated in these Terms, the facility services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by law.
18. Limitation of Liability
To the fullest extent permitted by law, NorTech and its owners, officers, and affiliates, and the Technician, will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, or goodwill, arising out of or relating to facility services. NorTech's total aggregate liability for any claim relating to facility services is limited to the amount you paid for the affected Billing Period. Nothing in these Terms excludes liability that cannot be excluded under applicable law, including for gross negligence or willful misconduct.
19. Indemnification
You agree to indemnify and hold harmless NorTech and its owners, officers, and affiliates, and the Technician, from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your inaccurate information, your violation of law or the rights of others, or Facility conditions you failed to disclose.
20. Dispute Resolution & Governing Law
Please contact us first through your facility portal or facilities@nortech.site so we can try to resolve any issue informally. These Terms are governed by the laws of the State of California, and the exclusive venue for any dispute not resolved informally is Santa Clara County, California. [ATTORNEY TO REVIEW — confirm whether an arbitration clause and class-action waiver comparable to the residential Terms of Service §28 is appropriate for a commercial (B2B) counterparty.]
21. Electronic Communications & Signatures
You consent to receive communications, invoices, and agreements electronically, and agree that electronic communications and signatures (including accepting these Terms or a service agreement in your facility portal) satisfy any legal requirement that a communication or signature be in writing.
22. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted here with an updated effective date and, where appropriate, notified to you. Your continued use of facility services after changes take effect constitutes acceptance.
23. General
These Terms, together with any signed service agreement, invoice terms, and NorTech's Privacy Policy, are the entire agreement between you and NorTech regarding facility services. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to you may be sent to the contact information on your facility portal account; notices to us go to facilities@nortech.site.
